These Terms of Service ("Terms") govern your access to and use of websites, software, communications tools, forms, document signing tools, broker support services, and related services provided by Health First Insurance ("Health First," "we," "us," or "our"), including services offered through or in connection with Agent Intel.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use the services.

Who May Use the Services

Our services are intended for licensed insurance brokers, agencies, authorized broker staff, clients, prospective clients, and other individuals who interact with Health First Insurance or brokers using Health First Insurance or Agent Intel services.

By using the services, you represent that:

• You are at least 18 years of age, or you are using the services with appropriate authorization
• You have authority to provide information, sign documents, or communicate on behalf of yourself or your organization
• Your use of the services complies with applicable federal, state, and local laws and regulations

Accounts and Access

Some services may require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to notify us promptly at contracting@hfrocks.com if you believe your account or information has been accessed without authorization.

We may suspend or terminate access to accounts or services that violate these Terms or create risk to Health First Insurance, Agent Intel, users, clients, carriers, service providers, or the public.

Acceptable Use

You agree not to use the services to:

• Violate any federal, state, or local law or regulation
• Send unsolicited, deceptive, or unauthorized communications
• Transmit unlawful, harassing, defamatory, fraudulent, or abusive content
• Attempt to gain unauthorized access to any system, account, or data
• Interfere with or disrupt the operation, security, or availability of the services
• Reverse engineer, decompile, or attempt to extract source code from our software
• Collect or use personal information without appropriate authorization or consent
• Use messaging, document signing, or communications tools in a way that violates telecom, privacy, insurance, or consumer protection laws

SMS/Text Messaging Terms

Program Name

Health First Insurance SMS Program

Program Description

Health First Insurance may send SMS/text messages to brokers, broker support staff, clients, prospective clients, and other individuals who have opted in to receive messages from Health First Insurance or from authorized brokers using Health First Insurance or Agent Intel services.

Messages may include:

• Broker support communications
• Appointment reminders
• Enrollment or application reminders
• Document requests
• Account or service notifications
• Health insurance plan support
• Broker contracting or appointment updates
• Agent Intel account, software, or maintenance notifications
• Responses to requests for support or information

The SMS program is used for service-related communications, support, reminders, and account notifications. Promotional or marketing text messages will only be sent where legally permitted and where appropriate consent has been obtained.

Consent

By providing your mobile number and opting in, you agree to receive SMS/text messages from Health First Insurance, Agent Intel, or an authorized broker using Health First Insurance or Agent Intel services.

Consent to receive SMS messages is not a condition of purchasing insurance, receiving insurance advice, or using our services. You may choose not to opt in or may opt out at any time.

Mobile Information Sharing

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. This includes mobile phone numbers, SMS opt-in data, and SMS consent records.

We may share information with service providers, such as messaging providers, only as necessary to deliver services on our behalf. Those service providers are not permitted to use mobile information or SMS consent data for their own marketing or promotional purposes.

Voice Communications

Health First Insurance and authorized brokers may communicate by phone for service, support, account, appointment, enrollment, document, or insurance-related purposes. Where calls are recorded or transcribed, we will disclose that as required by applicable law or at the point of consent.

You are responsible for providing accurate contact information and for notifying us if your contact information changes.

Electronic Signatures and Documents

Some services may allow you to review, complete, sign, or submit documents electronically. By using our electronic signature or document services, you agree that:

• Electronic signatures may have the same legal effect as handwritten signatures where permitted by law
• You are responsible for reviewing documents before signing
• You have authority to sign or submit any document you complete
• We may store audit records related to document access, completion, signature, consent, IP address, timestamp, and related metadata

Insurance Information

Health First Insurance and authorized brokers may provide information related to health insurance plans, applications, enrollment, carriers, benefits, and related services. Information provided through our services is for support and service purposes and may depend on your specific situation, carrier rules, plan availability, and applicable laws.

You are responsible for reviewing all insurance documents, plan materials, carrier notices, and official policy information before making decisions.

Data and Privacy

Your use of the services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

We collect, use, store, and disclose information as described in our Privacy Policy, including information needed to provide services, communicate with you, support brokers and clients, maintain records, comply with legal obligations, and protect the security and integrity of our systems.

Third-Party Services

Our services may integrate with third-party platforms, including communications providers, electronic signature providers, hosting providers, analytics providers, carriers, quoting tools, CRM tools, and other service providers. Your use of those third-party services may also be governed by their own terms and privacy policies.

We are not responsible for the practices, policies, availability, or content of third-party services that we do not control.

Intellectual Property

The services, including software, designs, workflows, content, branding, logos, documentation, interfaces, and related materials, are owned by Health First Insurance, Agent Intel, or their licensors and are protected by applicable intellectual property laws. These Terms do not grant you ownership rights in the services.

You may not copy, reproduce, distribute, modify, create derivative works from, or exploit the services except as expressly permitted by Health First Insurance.

You retain ownership of data or content you submit through the services. By submitting data or content, you grant us a limited right to process, store, transmit, and use that data solely as needed to provide, maintain, secure, and improve the services and comply with applicable law.

Disclaimer of Warranties

The services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the services will be uninterrupted, error-free, completely secure, or available at all times. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and availability.

Limitation of Liability

To the maximum extent permitted by law, Health First Insurance, Agent Intel, and their affiliates, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to your use of the services.

Our total liability for any claim arising from these Terms or your use of the services will not exceed the amount you paid us, if any, in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify and hold harmless Health First Insurance, Agent Intel, and their affiliates, officers, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from:

• Your use of the services
• Your violation of these Terms
• Your violation of applicable law
• Your misuse of communications, SMS, voice, document signing, or insurance-related tools
• Your violation of another person's rights

Suspension and Termination

We may suspend or terminate your access to the services at any time if we believe your use violates these Terms, creates risk, violates applicable law, or may harm Health First Insurance, Agent Intel, users, clients, service providers, or third parties. You may stop using the services at any time.

Sections that by their nature should survive termination will survive, including intellectual property, privacy, disclaimers, limitation of liability, indemnification, and governing law.

Changes to the Services or Terms

We may modify the services or these Terms at any time. When we make material changes, we will provide notice by posting an updated version with a new effective date or by other reasonable means. Continued use of the services after changes become effective means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law rules. Any disputes arising from these Terms or the services shall be resolved in the state or federal courts located in Salt Lake County, Utah, unless applicable law requires otherwise.
